Terms of Service
These terms cover the website design, build, hosting, and upkeep services offered by Wayfare Digital, a trade name of Agsperience, Inc., a Tennessee corporation ("Wayfare Digital," "we," "us"). By booking a build, starting a plan, or paying an invoice, you ("you," "the client") agree to these terms. If your signed proposal or quote says something different from this page, the proposal wins.
1. What we do
We design and build websites and web apps for small businesses. We also host and maintain them on monthly upkeep plans. Your proposal or quote lists exactly what's included in your build: pages, features, integrations, and timeline.
2. Website Strategy Session
The Website Strategy Session ("Plan Before You Build") costs $300. It's a working session to clarify your goals, customers, and offers, and to decide what your website should do. Afterward you get a written recommendation and build plan. If you book a build within 30 days of the session, the full $300 is credited toward it.
3. Quotes and ways to pay
Every build and service is priced in a written quote. Your quote lists each item, whether it is charged once or monthly, any optional add-ons you chose, and how the total is paid. You pay the amounts in your signed quote. A quote is good until the date shown on it.
- Paid in full. The one-time total is due when you accept the quote.
- Deposit and balance. The deposit in your quote is due when you accept it and reserves your build. The balance is due at launch, or on the date in your quote.
- Monthly installments. The one-time total is split into the number of monthly payments in your quote. The first is due when you accept it, and the plan stops on its own after the last one.
Monthly items in your quote, such as upkeep, start on the date your quote gives and renew every month. Every new build includes an admin dashboard so you can update your own content. Applicable sales tax is added where required.
4. After your site is paid off
When your site is fully paid, you choose one of these:
- Managed upkeep, at the monthly price in your quote
- Basic upkeep, at the monthly price in your quote
- Self-hosting: we move your site to hosting you control, at no charge
If you pay in monthly installments, we'll ask for your choice about 30 days before your final payment. If you don't choose an upkeep plan, we'll move your site to your own hosting.
5. Upkeep plans
- Basic: hosting, SSL, backups, uptime monitoring, and fixes if something breaks. Small redesigns and security hardening are billed separately and quoted before we start.
- Managed: everything in Basic, plus security hardening and small redesigns at no extra charge. A small redesign is a layout, section, or styling change to existing pages, up to about 2 hours a month. Unused time doesn't roll over. New pages or features are quoted separately.
On both plans, you update your own content (text, photos, listings, events) from your admin dashboard. Upkeep plans renew every month until you cancel.
Most existing sites, including ones we didn't build, can be added to an upkeep plan after we review them. Adding one has a one-time setup fee, listed in your quote, which covers migration and adding an admin dashboard. Veteran-owned and women-owned businesses get 10% off monthly upkeep; ask for it when you sign up.
6. Marketing for Growth and Business Autopilot
These monthly services are available whether or not we built your website. You pay the monthly price in your quote. Wayfare website clients can also add them from their client account at the client price shown there.
- Marketing for Growth: 12 to 16 social posts a month on two platforms from a content calendar you approve, Google Business Profile management, a monthly blog post with local SEO fixes, ad management on one platform, a monthly report and a quarterly call. It has a 3-month minimum. If you cancel before 3 months, we may bill the remaining months of the minimum. Ad spend is paid by you directly to the ad platform and is never part of our fee.
- Autopilot Basic: automatic review requests, up to 3 automations and an AI chat assistant that answers common questions.
- Autopilot Pro: everything in Basic, plus unlimited standard automations, a monthly email newsletter and a chat assistant that takes bookings. A standard automation connects tools you already use. Connections to software with no way to link to it are quoted separately.
- One-time builds: online booking and payments or a merch store are quoted per project, and nothing is charged until you approve the quote.
You keep ownership of your social, Google and ad accounts. We never ask for passwords; you add us as a partner or manager and can remove us at any time. You are responsible for approving content before it is posted, for the accuracy of the information you give us (including answers your chat assistant uses), and for your ad spend. Results such as followers, reviews or sales are not guaranteed.
7. Billing and automatic payments
All payments are processed by Stripe. When you start a monthly plan, you authorize us to charge your card or bank account (ACH) on each billing date until the plan ends or you cancel. An installment plan stops on its own after its last payment. Stripe emails you a receipt for each payment. You can update your payment method and download invoices any time from your client account.
8. Your client account
Clients get an account at wayfaredigital.com/portal. You sign in with a one-time link sent to the email address we have on file; there is no password. Your account shows your site's health (uptime, speed, security certificate, domain renewal, backups and updates), your plan and payments, and a place to send us notes. Keep access to that email address secure, since anyone who can read it can sign in to your account. The health information is provided to keep you informed and is not a guarantee of uptime or performance.
9. Late or failed payments
If a payment fails, Stripe will retry it automatically and email you a link to update your payment details. If a payment is still unpaid 14 days after its due date, we may pause work and suspend hosting of your site until the account is brought current. Because we host sites on monthly plans, a suspended site will be offline until payment is made.
10. Who owns the site
You own your finished site, its design, and its code once the full build price has been paid. That means at launch when you pay in full or pay a deposit and balance, or after your final payment when you pay in monthly installments. Until then, we own the site and give you the right to use it while your account is in good standing.
Content you provide stays yours. This includes your text, photos, logos, and product information. Once you own the site, we'll hand over every file and help you move it to a new host at no charge if you want to take it elsewhere.
We may reuse general tools, code libraries, and techniques that aren't specific to your business. We may also show your finished site in our portfolio, unless you ask us not to.
11. Canceling
- Upkeep plans: cancel any time before your next billing date and you won't be charged again. We don't refund partial months.
- Business Autopilot: month to month. Cancel any time before your next billing date and you won't be charged again. We don't refund partial months.
- Marketing for Growth: cancel any time after the 3-month minimum, before your next billing date. We don't refund partial months.
- Installment builds: if you stop before the last payment, you can pay the remaining balance to take ownership of the site. Otherwise, we'll take the site offline and keep ownership of it.
- Build deposits: the deposit in your quote covers work we begin right away and is non-refundable once work has started.
12. Your responsibilities
- Send content, feedback, and approvals on time. Delays on your side can push back your launch date.
- Make sure you have the rights to everything you send us, and that it's accurate and legal to publish.
- Don't use your site for anything unlawful, deceptive, or harmful.
- Keep your login details for any site dashboard secure.
13. Changes to scope
Work beyond what's in your proposal or your upkeep plan is quoted separately before we start it.
14. Third-party services
Your site relies on outside providers such as hosting platforms, domain registrars, payment processors, and email services. Their own terms apply, and we aren't responsible for their outages or policy changes. We aim for high uptime, but we can't guarantee a site will never be unavailable.
15. Warranties and liability
We build carefully and fix what breaks on active upkeep plans. Beyond that, our services are provided "as is," without warranties of any kind, including any guarantee of specific search rankings, traffic, or sales.
To the extent the law allows, we aren't liable for indirect, incidental, or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid us in the three months before the claim arose.
16. Governing law
These terms are governed by the laws of the State of Tennessee. Any dispute will be handled in the state or federal courts located in Rutherford County, Tennessee.
17. Changes to these terms
We may update these terms from time to time. When we do, we'll change the effective date at the top of this page. For significant changes that affect active clients, we'll email you before the change takes effect.
